Stage 1: Lay the foundationStep 6 of 25
Know the BOI rule (and avoid the scams)
You may hear that new LLCs must file a Beneficial Ownership Information (BOI) report with FinCEN. That changed.
- Under a final rule FinCEN announced in August 2026, U.S. companies and U.S. persons no longer have to file BOI reports.
- Companies formed outside the U.S. and registered to do business here may still have to file.
- Ignore letters or emails that demand a fee to file a BOI report for your U.S. LLC.
Never pay a company that says it must file a BOI report for your U.S. LLC.
Got a letter asking your LLC for money?
Check whether it is a required filing or a misleading offer.
